Acceptance of terms

By accessing or using Coday (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and customers ("you" or "Customer").

Service description

Coday is an MCP-native deployment platform operated by Coday, Inc. The Service lets you deploy applications from a connected GitHub repository through Model Context Protocol clients (such as Claude Code, Cursor, or Cline) or directly from the Coday dashboard.

Coday operates the underlying cloud infrastructure on your behalf and monitors deployed applications for health, security, and uptime.

Account registration

To use the Service you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

You may not share, transfer, or sell your account without prior written consent from Coday.

Subscriptions and billing

Coday offers monthly subscription plans:

  • Basic — $29 per month.
  • Pro — $59 per month, including everything in Basic plus continuous security validation.

Cloud infrastructure usage (compute, storage, bandwidth) is billed separately each month based on actual usage. Set a monthly cap in your dashboard.

All prices are in U.S. Dollars. Payments are processed by Stripe, Inc. By subscribing you also accept Stripe’s terms of service.

Subscriptions renew automatically at the end of each billing period until you cancel. You may cancel at any time from your dashboard; access continues through the end of the current period.

Refunds

Coday offers a 14-day money-back guarantee on your first subscription payment. Detailed terms are described in the refund policy at /refund.

Cloud infrastructure usage charges are non-refundable, as the underlying cloud costs have already been incurred.

Acceptable use

You agree to use the Service only for lawful purposes and in compliance with applicable laws.

You will not upload, deploy, or generate content that is illegal, infringing, harmful, fraudulent, or that violates third-party rights.

You will not use the Service to operate malware, send unsolicited bulk communications, mine cryptocurrency, or otherwise abuse the underlying infrastructure.

You are responsible for maintaining backups of your data outside the Service when required for compliance or business continuity.

Code and content ownership

You retain ownership of all code, content, and data you upload, generate via the Service, or store within your application.

You grant Coday a limited license to host, process, and operate your code and content solely to provide the Service.

On termination you may export your code and data within 30 days. After that period Coday may permanently delete your data.

Third-party services

The Service depends on third-party providers, including (but not limited to) GitHub for source control, Stripe for payments, and cloud infrastructure providers for hosting.

Coday is not responsible for outages, errors, or changes to those third-party services. Their terms govern your use of those services to the extent applicable.

Service availability

Coday will use commercially reasonable efforts to keep the Service available, including automated daily backups retained for 30 days and ongoing health monitoring.

Coday does not guarantee uninterrupted service. Any service level agreements are described separately at the time of purchase.

Limitation of liability

To the fullest extent permitted by law, Coday’s aggregate liability arising out of or related to the Service will not exceed the amounts you paid to Coday in the twelve (12) months preceding the claim.

Coday is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility.

Indemnification

You agree to indemnify and hold harmless Coday and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your breach of these Terms.

Termination

You may terminate your account at any time by canceling your subscription and deleting your projects from the dashboard.

Coday may suspend or terminate your account for breach of these Terms, non-payment, or fraudulent activity, with reasonable notice where practicable.

On termination, the Service and your access will cease. Your data will be retained for 30 days for export, then permanently deleted.

Domain registrations

Coday operates a managed domain reseller service on top of the Cloudflare Registrar API. When you purchase a domain through Coday:

  • Coday acts as the registrar account of record. The domain is registered under Coday's Cloudflare Registrar account, with you (the Customer) as the beneficial owner and authorized administrative contact.
  • You retain full beneficial ownership and the unilateral right to transfer the domain out to any other ICANN-accredited registrar at any time (subject to the standard 60-day transfer lock after initial registration mandated by ICANN).
  • To initiate a transfer-out, contact [email protected]. Coday will release the authorization code and remove the registrar lock within two (2) business days.
  • Auto-renewal is enabled by default. You can disable auto-renewal per domain at any time from the dashboard. When disabled, the domain expires at the end of the current term unless you renew manually.
  • If a renewal payment fails (insufficient funds, expired card) and is not resolved before the domain expires, the domain enters Cloudflare's standard redemption period (~30 days, redemption fee applies) and then drops back into the registry pool. You are responsible for keeping a valid payment method on file.
  • Coday charges a 15–20% operational markup on top of the pass-through Cloudflare Registrar fee. The exact markup is shown at purchase time and locked for the initial term and any subsequent auto-renewals.

Coday business continuity for domains:

  • In the event Coday ceases operations, we will provide at least sixty (60) days' advance notice and a self-serve transfer-out flow so that you can move every domain registered under your Coday account to a registrar of your choice without loss of registration time.
  • If self-serve transfer is not possible at wind-down, Coday will appoint an independent trustee to hold the domain registration accounts and process individual transfer-out requests for a minimum of one (1) year after wind-down.
  • In no event will Coday allow user-purchased domains to lapse due to Coday's own ceasing of operations.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, except where mandatory consumer-protection laws provide otherwise.

Changes to these Terms

Coday may modify these Terms from time to time. Material changes will be communicated by email or by a prominent notice in the dashboard at least 14 days before they take effect.

Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
